Terms of Use

Still Standing · see also our Privacy Policy

Effective Date: October 16, 2026 (draft)

These Terms of Use (these "Terms") constitute a legally binding agreement between you ("you" or "your") and LV Trail LLC, a New Jersey limited liability company ("Company", "we", "us", or "our"), governing your access to and use of our website located at playstillstanding.com and the Still Standing sports pool platform offered through it (the "Site"). These Terms govern your use of the Site and the Services. Premium or custom pools, such as a pool with its own web address or features built for one group, are provided under a separate written Custom Pool Agreement. They are governed by these Terms only to the extent that agreement says so.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SITE. BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SITE.

1. Definitions

For purposes of these Terms, the following capitalized terms have the meanings set forth below:

"Intellectual Property Rights" means all patents, copyrights, trademarks, trade secrets, moral rights, contract rights, and other intellectual property rights, whether registered or unregistered, throughout the world.

"Services" means the Still Standing sports pool platform offered by Company through the Site, including tools to create and run a League, invite members, make picks, view standings and the Board, plan future picks, and receive League emails. The Services include pro football playoff survivor and college playoff survivor pools today, and may include other pool formats and golf pools or trips in the future.

"League" means a pool created and run on the Site by a Commissioner, together with its members, entries, picks, and results.

"Commissioner" means the person who creates and runs a League. "Co-Commissioner" means a person a Commissioner has given helper or staff access to a League. "Player" means a person who joins a League and makes picks.

"User Content" means content you submit to the Site, including League names, rules notes, announcements, entry names, and Feedback.

"Custom Pool Agreement" means a separate written agreement between Company and a customer for a premium or custom pool, priced per pool.

"Season" means one season of the sport a League is based on, as shown on the Site (for example, the 2027–28 season).

"Paid Plan" means any purchase of the Services for a fee, such as a League for a Season, or an entry in a League. "Fees" means the amounts charged for a Paid Plan. Fees are only for use of the Still Standing software and are never pool money.

"Pool Money" means entry fees, prizes, side bets, or any other money exchanged between a League's members.

2. Acceptance of Terms

Binding Agreement. By accessing the Site, creating an account, starting or joining a League, purchasing a Paid Plan, or submitting an inquiry through the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

Modifications to Terms. Company reserves the right to modify these Terms at any time in its sole discretion. We will provide notice of material changes by posting the updated Terms on the Site with a revised "Effective Date" or by sending notice to the email address associated with your account. Your continued use of the Site or Services after the effective date of the modified Terms constitutes your acceptance of such changes. If you do not agree to the modified Terms, you must discontinue use of the Site and Services.

Separate Custom Pool Agreement. Premium and custom pools are subject to a separate Custom Pool Agreement. In the event of a conflict between these Terms and a Custom Pool Agreement with respect to that pool, the Custom Pool Agreement shall control.

3. Eligibility

Age Requirement. The Site is intended solely for users who are at least eighteen (18) years of age (or the age of majority where you live, if higher). By using the Site, you represent and warrant that you are at least eighteen (18) years old (or that age of majority) and have the legal capacity to enter into these Terms.

Business Capacity. If you are accessing the Site on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" herein shall refer to that entity.

Compliance with Laws. You represent and warrant that your use of the Site complies with all applicable federal, state, and local laws and regulations, including all laws of the State of New Jersey. You are solely responsible for determining whether any pool you run or join, and any money you or your League's members exchange outside the Site, is lawful where you and they are located.

4. About the Site

The Site is a web platform that lets Commissioners create and run sports pools and lets Players join them and make picks.

Premium and Custom Pools. The specific scope, specifications, deliverables, timelines, and fees for any premium or custom pool (for example, a pool with its own web address or features built for one group) are governed exclusively by a separate Custom Pool Agreement between Company and the customer and are not governed by these Terms.

Informational Purposes. The Site, including descriptions of the Services, examples, pricing, and any estimated outcomes, is provided for informational purposes only and does not constitute an offer or a guarantee of any particular result, except that the Fees shown to you at checkout for a Paid Plan are the Fees you will be charged. Company's disclaimers regarding results and outcomes are set forth in Article 11

Free Survivor Leagues for the 2026–27 Season. Survivor Leagues for the 2026–27 season are free. This means pro football playoff survivor and college playoff survivor Leagues, and any full-season survivor League we offer for the same season, through the end of the 2026–27 season in February 2027. Nothing else is free unless we say so when it is offered. Beginning with the 2027–28 season, Company may charge Fees for some or all Leagues, and other pool formats, golf pools or trips, and other products may carry Fees from the day they are offered, as described under "Fees, Billing and Payment" below. Some Leagues, such as small Leagues, may remain free. No one will be moved to a Paid Plan or charged without agreeing first.

Pool Money Is Not Handled by the Site. The Site never collects, holds, or pays out Pool Money. There are no entry fees, prizes, or payouts between members on the Site. If a Commissioner chooses to collect or pay out Pool Money for a League, that is done entirely outside the Site, solely between the Commissioner and the League's members, and Company is not a party to it, does not track it, and has no responsibility for it. Any Fees you pay Company are only for use of the Still Standing software. They are not entry fees, are not added to any prize, and do not depend on the outcome of any pool.

Accounts and Sign-In. League members sign in with an email address and password. Commissioners starting a League, and Company's administrators, sign in with one-time codes or links sent by email. You are responsible for keeping your password and sign-in links confidential and for all activity under your account, and you must notify us promptly of any unauthorized use. You must provide accurate information.

Commissioners. A Commissioner sets a League's rules, decides who to invite, and decides its results. Commissioners and Co-Commissioners can see League members' names, email addresses, entries, and picks. A Commissioner may enter or correct a result by hand. The Commissioner's rulings decide the League, and Company does not settle disputes about a League's rules or results, though Company's administrators may correct a result to fix a data or technical error. When you invite someone through the Site, you confirm that you know them and that they would expect to hear from you about the League.

Company Access to Leagues. Company's administrators may view any League, and may make changes when needed to provide support, fix a problem, or enforce these Terms. Each visit and any change is recorded in the League's change log, which the Commissioner can see.

Email Limits. To protect members and keep email delivery reliable, Company may limit how many emails a League sends, such as announcements, invitations, and reminders a Commissioner starts, and may pause them for a time. Sign-in emails, pick confirmations, and automatic League emails are not limited this way.

Players. Players make picks under the rules their Commissioner sets. Your name and entry names are visible to other members of your League, and your picks are shown to them on the Board after each round locks.

Scores, Results and Data Feeds. Scores, schedules, results, and odds come from third-party data feeds and may be wrong, incomplete, or late. Company does not guarantee their accuracy or timeliness. A Commissioner can enter or correct a final result by hand.

AI-Drafted Recaps. After each round, the Site may draft a recap for the Commissioner using an artificial intelligence service that is given the round's pool facts and researches the real games on the web. Drafts may contain errors. The Commissioner reviews, edits, and decides whether to send each recap, and is responsible for what is sent.

Aggregated Pick Information. The pick Planner may show the share of picks on each team across other Leagues. This information is shown as counts only, never shows names, and is provided for entertainment and is not advice.

Demo Leagues. Demo Leagues use the prior season's real results and are for illustration only.

Surveys. Our end-of-season survey may ask what you would be willing to pay in a future season. These are hypothetical questions and are not an offer, quote, or commitment by you or by Company.

Fees, Billing and Payment

These provisions apply only when you purchase a Paid Plan. They do not apply to free Leagues, including free survivor Leagues for the 2026–27 season.

Paid Plans and Fees. Fees, who pays them (the Commissioner, the Players, or both), and what they cover will be shown on the Site before you purchase. Fees may be a price per League, a base price per League plus an amount per entry, or another structure shown at purchase. Unless stated otherwise at purchase, Fees are charged per League, per Season. By completing a purchase, you authorize Company and its payment processor to charge the payment method you provide for the Fees shown, plus any applicable taxes.

Payment Processor. Payments are processed by a third-party payment processor (currently planned to be Stripe). Company does not store complete payment card information. Your use of the processor is also subject to its terms and privacy policy.

Renewals. Paid Plans do not renew automatically. Before each new Season, we will invite you to purchase again, and you will not be charged unless you do.

Price Changes. Company may change Fees for future Seasons. Any change will be posted at least thirty (30) days before it applies and will be shown before you purchase. A price change never applies to a Season you have already paid for.

Refunds. You may receive a full refund of Fees for a Season if you request it before the first pick deadline (the first "lock") of that Season. After the first lock, Fees are not refundable, except where required by law or as stated in Article 17. To request a refund, contact us using the contact information in Article 18.

Taxes. Fees do not include taxes unless stated. You are responsible for any sales, use, or similar taxes that apply to your purchase, which will be shown at checkout where Company is required to collect them.

Failed Payments. If a payment fails, we will notify you and may retry the charge. If payment is not completed within seven (7) days, the League becomes read-only (its history stays viewable, but no new picks can be made) until payment is made.

If a Paid Plan Ends. If a Paid Plan ends, lapses, or is not renewed, the League's history (members, entries, picks, and results) is not deleted because of that alone. It is kept as described in the Privacy Policy so the League can be run again in a later Season. Paid-only features may stop working until a Paid Plan is purchased again.

Credits, Promotions and Referral Credits. Company may offer promotions, discounts, or credits, including referral credits given as a percentage off a future Season's price. Credits have no cash value, cannot be transferred or exchanged for money, and are subject to the terms stated when they are offered, including any expiration. Company may change or end a promotion or credit program for future offers at any time.

Chargebacks. If you believe a charge is wrong, please contact us first so we can fix it. If you dispute a valid charge with your bank or card issuer, Company may suspend Paid Plan features for the affected League until the dispute is resolved, and may decline future purchases from that payment method or account.

Who Is Responsible. If a Commissioner pays Fees for a League, the Commissioner is responsible for those Fees. If Players pay Fees for their entries, each Player is responsible for that Player's own Fees. Company does not collect Fees on behalf of a Commissioner, and Fees are not shared with any Commissioner.

5. Intellectual Property

Site Content. All content on the Site, including text, graphics, logos, images, and the design, layout, and arrangement of the Site, is owned by Company or its licensors and is protected by applicable Intellectual Property Rights. Except as expressly permitted, you may not copy, reproduce, distribute, modify, publicly display, or create derivative works from any content on the Site without Company's prior written permission.

User Content. You keep ownership of your User Content. You grant Company a non-exclusive, worldwide, royalty-free license to host, store, copy, display, and transmit your User Content as needed to operate and provide the Services, including showing it to members of your League and including it in League emails and recaps. You are responsible for your User Content and represent that you have the right to submit it.

Team Names and No Affiliation. Team names and abbreviations are used on the Site only to identify teams and games. The Site does not use league or team logos. Still Standing and Company are not affiliated with, endorsed by, or sponsored by the National Football League, the NCAA, the College Football Playoff, or any team.

6. Acceptable Use

  • Infringe or violate the Intellectual Property Rights, privacy rights, or other rights of any third party.

  • Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, pornographic, or otherwise objectionable, including in League names, entry names, rules notes, or announcements.

  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.

Company reserves the right to investigate and take appropriate legal action against anyone who, in Company's sole discretion, violates this Article 6, including removing offending content, suspending or terminating access, and reporting violations to law enforcement authorities. A Commissioner may also remove a member from the Commissioner's League.

7. Third-Party Links and Content

Third-Party Content. The Site may contain links to third-party websites or content. Company does not endorse, control, or assume responsibility for any third-party websites or content. You access third-party websites and content at your own risk. Third-party content includes scores, schedules, results, and odds from sports data providers, and drafts produced by the artificial intelligence service used for round recaps.

8. Privacy and Data Protection

Privacy Policy. Company's collection, use, and disclosure of personal information is governed by Company's Privacy Policy. By using the Site, you consent to Company's collection and use of personal information as described in the Privacy Policy.

Data Security. Company will implement reasonable administrative, technical, and physical safeguards designed to protect personal information collected through the Site. However, no security measures are perfect or impenetrable, and Company cannot guarantee that unauthorized access, hacking, data loss, or other breaches will never occur.

Compliance with Privacy Laws. Company will comply with applicable data protection and privacy laws, including the California Consumer Privacy Act (CCPA) and, where applicable, the General Data Protection Regulation (GDPR), with respect to personal information collected through the Site.

9. Feedback and Suggestions

Voluntary Feedback. If you provide Company with any feedback, suggestions, ideas, enhancement requests, or recommendations regarding the Site or Services (including through the Feedback button or our surveys) (collectively, "Feedback"), you acknowledge and agree that Company may use such Feedback for any purpose without obligation or compensation to you. Company may build features based on Feedback and make them available to all users. Company is not obligated to build any suggested feature.

Assignment of Rights. You hereby assign to Company all right, title, and interest in and to the Feedback, including all Intellectual Property Rights therein. To the extent such assignment is not effective, you grant Company a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, create derivative works from, distribute, and otherwise exploit the Feedback for any purpose.

10. Copyright Infringement and DMCA Compliance

Respect for Intellectual Property. Company respects the Intellectual Property Rights of others and expects users of the Site to do the same. It is Company's policy to respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA).

DMCA Notice Procedure. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible on or through the Site, you may notify Company's designated DMCA agent by providing the following information in writing:

Repeat Infringers. Company may, in appropriate circumstances and at its sole discretion, terminate the accounts of users who are repeat infringers.

11. Disclaimer of Warranties

DISCLAIMER OF WARRANTIES. THE SITE AND ALL CONTENT AND INFORMATION ON THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE INFORMATION ON THE SITE IS COMPLETE, ACCURATE, OR CURRENT. PRICING, SERVICE DESCRIPTIONS, AND AVAILABILITY ARE SUBJECT TO CHANGE WITHOUT NOTICE, EXCEPT THAT FEES FOR A PAID PLAN YOU HAVE PURCHASED, AND NOTICE OF PRICE CHANGES, ARE GOVERNED BY ARTICLE 4. WITHOUT LIMITING THE FOREGOING, COMPANY DOES NOT WARRANT THE ACCURACY OR TIMELINESS OF SCORES, SCHEDULES, RESULTS, OR ODDS FROM THIRD-PARTY DATA FEEDS, OR THE ACCURACY OF ANY AI-DRAFTED RECAP OR AGGREGATED PICK INFORMATION.

Not a Party to Any Pool. COMPANY PROVIDES TOOLS ONLY. COMPANY IS NOT A PARTY TO ANY POOL, LEAGUE, OR ARRANGEMENT BETWEEN COMMISSIONERS AND PLAYERS, INCLUDING ANY MONEY EXCHANGED OUTSIDE THE SITE, AND DOES NOT DECIDE ANY LEAGUE'S RULES OR RESULTS.

No Guarantee of Results. The information, service descriptions, examples, pricing, and any estimated outcomes shown on the Site or in Company's materials are provided for general informational purposes only and are illustrative; they do not constitute a representation, warranty, or guarantee of any particular result. Any performance commitments or disclaimers relating to a premium or custom pool are governed exclusively by the applicable Custom Pool Agreement.

12. Limitation of Liability

EXCLUSION OF DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CAP ON LIABILITY. TO THE FULLEST EXTENT PERMITTED BY LAW, COMPANY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE FEES YOU PAID COMPANY IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION APPLIES ONLY TO CLAIMS ARISING FROM USE OF THE SITE; ANY CLAIMS ARISING FROM A PREMIUM OR CUSTOM POOL ARE GOVERNED BY THE APPLICABLE CUSTOM POOL AGREEMENT.

Disputes Among League Members. Any dispute between you and a Commissioner, Co-Commissioner, or other Player, including about a League's rules, results, or any money exchanged outside the Site, is solely between you and them. To the fullest extent permitted by law, you release Company from claims arising out of such disputes.

Jurisdictional Limitations. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. To the extent any exclusion or limitation set forth in these Terms is held unenforceable in a particular jurisdiction, Company's liability shall be limited to the maximum extent permitted by applicable law.

Exceptions. The limitations set forth in this Article 12 shall not apply to (a) Company's gross negligence or willful misconduct, (b) your indemnification obligations under Article 13, or (c) liabilities that cannot be limited under applicable law.

Basis of the Bargain. You acknowledge that the limitations of liability set forth in these Terms reflect a reasonable allocation of risk and are an essential basis of the bargain between the parties.

13. Indemnification

Your Indemnification. You agree to defend, indemnify, and hold harmless Company, its officers, directors, employees, agents, contractors, successors, and assigns (the "Company Indemnified Parties") from and against any and all third-party claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

  • Your use of the Site in violation of these Terms.

  • Your breach of any representation, warranty, or obligation under these Terms.

  • Your violation of any applicable law or regulation.

  • Your User Content.

  • Any League you run as a Commissioner or Co-Commissioner, including any money collected, held, or paid out by you or your League's members outside the Site.

Indemnification Procedure. Company will provide you with prompt written notice of any claim subject to indemnification under this Article 13; provided, however, that your indemnification obligations will not be excused by any failure or delay in providing such notice except to the extent you are materially prejudiced thereby. Company may participate in the defense of any such claim with counsel of its own choosing at its own expense. You shall not settle or compromise any claim in a manner that imposes any liability or obligation on, or requires any admission of fault by, any Company Indemnified Party without Company's prior written consent, which shall not be unreasonably withheld.

14. Suspension and Termination

Suspension by Company. Company reserves the right to suspend or terminate your access to the Site, with or without notice, if:

  • You breach any material term of these Terms.

  • Company reasonably believes that your use of the Site poses a security risk, violates applicable law, or may subject Company to liability.

  • Company is required to suspend access to the Site by law, regulation, court order, or governmental authority.

Termination by Company. Company may terminate these Terms or your access to the Site immediately upon written notice if:

  • You materially breach these Terms and fail to cure such breach within fifteen (15) days of receiving written notice of the breach; or

  • You engage in fraudulent, abusive, or illegal conduct in connection with the Site.

Termination by You. You may stop using the Site at any time and may ask us to delete your account as described in the Privacy Policy. A Commissioner may delete the Commissioner's League. You may cancel a Paid Plan's renewal as described in Article 4. Deleting an account or League does not by itself entitle you to a refund, except as stated under "Refunds" in Article 4.

Effect of Termination. Upon termination of these Terms or your access to the Site, Your right to access and use the Site shall immediately cease. Information associated with your account and Leagues will be retained or deleted as described in the Privacy Policy. If Company terminates your access under this Article 14 because of your breach, Fees already paid are not refunded, except where required by law.

Survival. The following provisions shall survive termination of these Terms: Article 1 (Definitions), the Fees, Billing and Payment provisions of Article 4 (for amounts owed before termination), Article 5 (Intellectual Property), Article 9 (Feedback and Suggestions), Article 11 (Disclaimer of Warranties), Article 12 (Limitation of Liability), Article 13 (Indemnification), Article 15 (Dispute Resolution), Article 16 (Governing Law and Venue), and Article 18 (General Provisions).

15. Dispute Resolution

Informal Resolution. In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Site (a "Dispute"), the parties agree to first attempt to resolve the Dispute informally by contacting the other party in writing and engaging in good faith negotiations for a period of at least thirty (30) days.

Mediation. If the parties are unable to resolve the Dispute through informal negotiation, the parties agree to submit the Dispute to non-binding mediation conducted by a mutually agreed-upon mediator in Morris County, New Jersey, before pursuing any other legal remedy.

Litigation. If the Dispute cannot be resolved through informal negotiation or mediation, either party may pursue legal remedies in the state or federal courts located in Morris County, New Jersey, in accordance with Article 16 below.

Injunctive Relief. Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief in any court of competent jurisdiction to protect its Intellectual Property Rights or to prevent irreparable harm, without the need for prior informal resolution or mediation.

Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY AGREES THAT ANY DISPUTE SHALL BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR MASS ACTION. THE PARTIES EXPRESSLY WAIVE ANY RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS.

16. Governing Law and Venue

Governing Law. These Terms and any Dispute arising out of or related to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflicts of law principles.

Exclusive Venue. Subject to the dispute resolution provisions set forth in Article 15, each party irrevocably consents to the exclusive jurisdiction and venue of the state and federal courts located in Morris County, New Jersey, for any legal action or proceeding arising out of or related to these Terms or the Site. Each party waives any objection to venue in such courts and any claim that such courts are an inconvenient forum.

Waiver of Jury Trial. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE.

17. Changes to the Site and Terms

Modifications. Company reserves the right to modify, suspend, or discontinue the Site or any feature, service, or content offered through the Site at any time, with or without notice, for any reason, including maintenance, improvements, security, legal compliance, or business reasons.

Future Pricing. Company may introduce or change Fees for Seasons after the 2026–27 season, and for any pool format or product other than the free survivor Leagues described in Article 4 at any time. Any Fees will be shown before you purchase, and no one will be moved to a Paid Plan or charged without agreeing first, as described in Article 4.

Liability. Company shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Site. However, if Company discontinues the Services, or a paid feature you purchased, during a Season you have paid for, Company will refund the Fees you paid for that Season, pro rata for the unused part of that Season.

18. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between the parties regarding your use of the Site and supersede all prior or contemporaneous agreements, understandings, representations, and communications regarding such subject matter. Any premium or custom pool is governed by a separate Custom Pool Agreement.

Amendments. No amendment, modification, or waiver of these Terms shall be effective unless in writing and signed by both parties, except that Company may modify these Terms as provided in Article 2.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, such provision shall be severed from these Terms. The remaining provisions of these Terms shall remain in full force and effect.

Waiver. No waiver of any provision of these Terms shall be deemed or shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver unless otherwise expressly provided in writing. A party's failure to enforce any provision of these Terms shall not be construed as a waiver of such provision or the right to enforce it.

Assignment. You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder, in whole or in part, without Company's prior written consent. Any attempted assignment in violation of this section shall be null and void. Company may freely assign these Terms, in whole or in part, without your consent. No Implied Licenses. Except as expressly set forth in these Terms, no license or right is granted by implication, estoppel, or otherwise under any Intellectual Property Rights of either party.

Relationship to Custom Pool Agreement. Any premium or custom pool is governed by a separate Custom Pool Agreement. In the event of a conflict between these Terms and a Custom Pool Agreement with respect to that pool, the Custom Pool Agreement shall control.
